Welcome to Nepsify (“we,” “our,” or “us”). By accessing, browsing, or using our marketplace website, mobile applications, or any associated services (collectively, the "Platform"), you agree to comply with and be bound by the following Terms & Conditions (“Terms”). Please review them carefully. If you do not agree to these Terms, you must immediately cease using the Platform.

1. The Role of Nepsify (Intermediary & Venue Only)

Nepsify acts strictly as a passive intermediary and an online classifieds bulletin board.

  • No Direct Selling: Nepsify does not sell, lease, trade, buy, or distribute any goods, items, or services listed on the Platform.
  • No Involvement in Transactions: We are not a party to, nor do we facilitate, supervise, or mediate any transactions, communications, meetings, or contracts between buyers and sellers. We do not provide escrow services, payment processing, quality verification, shipping, or delivery.
  • No Verification of Content: We do not pre-screen, verify, audit, or endorse the quality, safety, legality, authenticity, or truthfulness of any user-generated listings, profiles, or communications. All transactions and interactions are conducted at the sole risk, discretion, and responsibility of the users involved.

2. Eligibility and User Accounts

  • Age Requirement: You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an account, list advertisements, or interact with other users on the Platform. If you are under 18, you may only use the Platform under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms.
  • Account Accuracy: You agree to provide accurate, current, and complete information during registration and to keep your account details updated.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for any activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. User-Generated Content and Intellectual Property License

  • Ownership: Users retain all ownership rights to the text, images, photos, and other materials they post on Nepsify ("User Content").
  • License Grant to Nepsify: By posting User Content on the Platform, you grant Nepsify a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content across any media or distribution channels for the purpose of operating, promoting, and improving the Platform.
  • Representations and Warranties: You represent and warrant that you own or have the necessary licenses, rights, and permissions to post your User Content, and that your content does not infringe upon the intellectual property, privacy, or proprietary rights of any third party.

4. Prohibited Items and Activities

Users are strictly prohibited from listing, selling, linking to, or advertising the following items and activities on Nepsify:

  • Weapons & Dangerous Items: Weapons, firearms, ammunition, military gear, explosives, or fireworks.
  • Controlled Substances: Illegal drugs, narcotics, drug paraphernalia, prescription medications, or tobacco and related products.
  • Counterfeit and Unauthorized Goods: Counterfeit items, replica brand products, unauthorized copies of copyrighted materials (e.g., pirated software, movies, music), or stolen property.
  • Adult Content: Adult entertainment, pornographic material, sexually explicit services, or escort services.
  • Wildlife and Animals: Endangered wildlife species, live animals, or products derived from protected animals.
  • Financial and Legal Documents: Currency, financial instruments, stocks, bonds, identity documents, personal data registries, or multi-level marketing/pyramid schemes.
  • Hazardous Materials: Hazardous chemicals, pesticides, or recalled products.
  • Malicious and Competitive Violations: Content that includes malware, phishing links, keyword stuffing, spam, or automated data scraping of our Platform for competitive commercial use.

5. Intellectual Property Infringement Policy (Notice and Takedown)

Nepsify respects the intellectual property rights of others (including brands, manufacturers, and competitors). If you believe that your copyright, trademark, or other intellectual property rights have been infringed by a listing on our Platform, please submit a formal notice of infringement to our designated support email containing:

  1. Identification of the proprietary right claimed to be infringed.
  2. The specific URL/listing ID of the allegedly infringing material on Nepsify.
  3. Your contact information (name, address, email, phone number).
  4. A statement made under penalty of perjury that the information provided is accurate and that you are the rights holder or authorized to act on their behalf.

Nepsify will promptly review and remove listings that violate verified intellectual property rights.

6. Account Suspension and Termination

We reserve the right, in our sole and absolute discretion, without prior notice or liability, to suspend, terminate, or restrict your account and delete any or all of your listings immediately if:

  • You breach any provision of these Terms.
  • We suspect fraudulent, deceptive, or illegal activity associated with your account.
  • We receive valid complaints or legal notices regarding your listings.
  • Your actions harm or threaten to harm the reputation, operations, or safety of Nepsify or its community.

7. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SERVICES, AND LISTINGS AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NEPSIFY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE PLATFORM, THE ACCURACY OF USER-GENERATED CONTENT, OR THE SAFETY, LEGALITY, QUALITY, OR AVAILABILITY OF THE GOODS AND SERVICES ADVERTISED. TO THE FULLEST EXTENT PERMITTED BY LAW, NEPSIFY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL NEPSIFY, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE PLATFORM.
  • ANY TRANSACTION, DISPUTE, AGREEMENT, OR INTERACTION BETWEEN YOU AND ANY OTHER USER.
  • ANY FRAUDULENT, DECEPTIVE, DEFECTIVE, OR ILLEGAL GOODS OR SERVICES LISTED BY USERS.
  • THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT OR DATA.

UNDER NO CIRCUMSTANCES SHALL NEPSIFY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO NEPSIFY DURING THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR $50 USD (WHICHEVER IS LESS).

9. Indemnification

You agree to defend, indemnify, and hold harmless Nepsify, its parent company, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Platform.
  • Your violation of any term of these Terms & Conditions.
  • Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right.
  • Any claim or dispute arising from a transaction between you and another user, or damages caused by User Content you posted.

10. Governing Law and Dispute Resolution

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be settled exclusively in the courts located in Kathmandu, Nepal.

11. Amendments to the Terms

We reserve the right to update or modify these Terms at any time without prior notice. The date of the most recent revision will be posted at the top of this page. Your continued use of the Platform following the posting of any changes constitutes your unconditional acceptance of the revised Terms.
